Overview: The firm had a manufacturing client who received an acquisition proposal from a private equity fund.
Challenge: This manufacturing client was a large company, and the challenge was that for certain reasons, the deal needed to be closed within 75 days of signing the Letter of Intent for the acquisition.
How we facilitated the close.
The firm was able to take the client through intensive due diligence, a required Quality of Earnings report, and a tax-free reorganization during the required time period. The deal was negotiated and closed within the 75 days.
